Softec’s Articles of Association outlines the fundamental rules regarding the functioning of the company and its social organs in order to regulate: the aims of the company and its duration, the definition of share capital and the proxies for its increase and the issuing of shares, conduct regarding savings shares, procedures for the appointment of the board of directors and the statutory board of auditors and rules for their functioning, meeting notice procedures, the functioning and participation in the shareholders’ meeting, special powers reserved for the Governing authorities. It is the act that regulates the internal life of the company as well as its functioning, all in respect of the binding regulations established by the Italian Civil Code.
